Parties and program The program is a **community-funded** neighbourhood security service that may include: - Randomized professional **marked patrol** on defined public roadways in Governors Bridge - **Automated licence-plate recognition (ALPR)** cameras at neighbourhood vehicular entrances (when installed and live) - **24/7 on-demand response** coordinated via **RSPNDR** and licensed patrol/response providers - Optional **home-alarm dispatch integration** (separate authorization) - Member tools (e.g. **my.nhbr.ai**, WhatsApp neighbourhood group where you opt in) **This is not a substitute for police or emergency services.** For life-threatening situations or crime in progress, call **911** first. NHBR is an independent community initiative. It is **not** a Governors Bridge Residents Association (GBRA) program. Camera-host arrangements (properties that host NHBR camera equipment) are governed by separate offline host agreements and are not part of these Terms. How we collect, use, retain, and share personal information — including ALPR practices, police access, and your privacy rights — is described in the separate **Privacy Policy** at [**https://nhbr.ai/privacy-policy**](https://nhbr.ai/privacy-policy). That Policy **also applies** to your use of the program. These Terms only cross-link; they do not restate the full Privacy Policy. ### Definitions **“Membership Fee”** or **“Monthly Rate”** means the recurring amount charged for your neighbourhood membership through the NHBR payment portal / checkout, as shown at signup and in your account, plus applicable taxes (including HST) unless taxes are stated separately at checkout. Fees may vary by neighbourhood. The amount you agreed at signup (or as later changed with notice under these Terms) controls. **“Fees”** means the Membership Fee / Monthly Rate and any other amounts you owe under these Terms for the membership. These Terms do not hard-code a dollar price; neighbourhood pricing lives on signup, the payment portal, and neighbourhood schedules. **“Billing Period”** means each successive one-month period for which Fees are charged, beginning on your first successful charge date (or other start date stated at checkout) and renewing on the corresponding anniversary day each month (or the next valid billing day). --- ## 2. Term and pricing ### 2.1 Membership term Membership is **month-to-month**. There is no one-year commitment. You agree to pay the Fees for your membership. The Membership Fee / Monthly Rate is disclosed before you complete signup and is charged to the payment method on file for each Billing Period. Except where required by law, Fees are non-refundable for Billing Periods already begun. ### 2.2 Billing start — Governors Bridge launch cohort If you signed up for Governors Bridge before the neighbourhood unlocks for billing, your payment method is collected at signup but **you are not charged until the launch first-charge date**. For the Governors Bridge launch cohort, the first charge is **1 October 2026**, after NHBR unlocks paused subscriptions (including any re-dating of start dates to that date). Until then, a paused subscription is an intentional hold — not a cancellation and not a failed payment. After the first successful charge, billing continues month-to-month at the Monthly Rate then in effect for your membership. Launch-cohort members switch to **individual anniversary billing**: each later charge falls on the same day of month as that first charge (or the next valid billing day if that date does not occur in a given month), not on a shared 1 October cycle. ### 2.3 Billing date — post-launch / future members Members who join **after** the Governors Bridge launch first-charge date are billed on an **anniversary** basis: your first charge occurs on signup (or on the start date stated at checkout), and each later charge falls on the **same day of month as your signup anniversary** (or the next valid billing day if that date does not occur in a given month), not on a single shared neighbourhood cycle date. ### 2.4 Price changes NHBR may change the Membership Fee / Monthly Rate for future Billing Periods. For an increase, NHBR will give at least **14 days’ notice** before the new rate takes effect. If you do not accept the new rate, you may cancel before it applies and continue on the old rate through the end of the then-current Billing Period. ### 2.5 Failed payment If a scheduled charge fails (expired card, insufficient funds, or processor decline), we will retry according to our ordinary billing practice and may email you at the address on file to update your payment method. **Suspension for non-payment.** If payment remains unsuccessful after those retries, we may **suspend** membership access — including neighbourhood communications channels (such as WhatsApp privileges) and vehicle whitelist privileges tied to an active membership — until the outstanding amount is paid or you cancel. Suspension for non-payment is not a refund and does not waive amounts already due for periods when service was available under these Terms. **Cancellation for non-payment.** If the account remains unpaid for **30 days** after suspension begins, we may cancel the subscription. Cancellation ends future charges. It does not automatically refund prior successful charges. Keep a valid payment method on file. Updating your card (or cancelling) is how you avoid suspension. --- ## 3. Activation and coverage ### 3.1 Geography Service is limited to the **Governors Bridge** coverage area (public roadways / entrances as defined on the program map). Cameras, if installed, monitor **public roadway / entrance** approaches — not private yards as a substitute for home CCTV. ### 3.2 What “coverage” means “Coverage” means NHBR will operate the subscribed program elements that are **then live** for the neighbourhood (patrol passes, camera monitoring when live, and on-demand dispatch). It is **not** a guarantee that crime will be prevented, detected, or interrupted in any specific case. ### 3.3 Patrol may start before cameras **Patrol and on-demand response may begin on or after October 1, 2026 even if entrance ALPR cameras are not yet installed or live.** Camera go-live depends on installation, participation, and ops readiness. Until cameras are live, plate-based monitoring features do not apply. Until October 1 (or your activation date), program monitoring/patrol are not yet active for this launch — use **911** for emergencies. --- ## 4. Privacy (cross-link only) Your personal information and ALPR-related practices are governed by the **NHBR Privacy Policy** at [**https://nhbr.ai/privacy-policy**](https://nhbr.ai/privacy-policy). By accepting these Terms you also acknowledge that Privacy Policy. This section does **not** restate collection, retention, police access, or member rights — see the live Privacy Policy. Patrol and response - Randomized professional **marked patrol** on program routes - **On-demand dispatch** via RSPNDR / licensed providers when Members or operators request response through approved channels - Typical response times may be communicated operationally; they are **illustrative only** and are **not** commitments, guarantees, or service-level agreements (SLAs) - Coordination with Toronto Police when appropriate - Member reporting: WhatsApp neighbourhood group (if you join), my.nhbr.ai / app channels, and [**hello@nhbr.ai**](mailto:hello@nhbr.ai) - **911** remains primary for emergencies --- ## 6. Member obligations You agree to: - Provide **accurate** household, vehicle, and contact information and keep it updated - Use WhatsApp / reporting channels responsibly — no harassment, spam, or knowingly false reports - Not interfere with cameras, patrol units, signage, or other Members’ quiet enjoyment - Not misrepresent affiliation with police or NHBR - Comply with applicable law when using the service --- ## 7. Optional home-alarm integration Alarm integration is **optional**. If you opt in, you authorize your monitoring station (via a separate authorization) to treat NHBR/RSPNDR as an authorized responder for designated alarm events, in addition to police notification where required. - NHBR does **not** guarantee that every alarm will result in a patrol arrival or any particular outcome - You remain responsible for your monitoring contract and any station fees or false-alarm rules - You may revoke alarm integration via my.nhbr.ai / written notice, or when your NHBR subscription ends --- ## 8. WhatsApp and member communications If you opt into the Governors Bridge WhatsApp group, you agree to group norms (respectful, no doxxing, no illegal content). NHBR may moderate or remove access for norms violations or safety reasons. WhatsApp is operated by Meta; their terms also apply. - **Leaving WhatsApp is not cancelling.** You may leave the group yourself using WhatsApp’s leave-group controls, or ask NHBR at [**hello@nhbr.ai**](mailto:hello@nhbr.ai) to remove you. - **Subscription cancellation is not WhatsApp removal.** Cancelling your NHBR subscription does not automatically remove you from the WhatsApp group; ask NHBR to remove you if you want to leave it. - NHBR may remove a participant for group-norms violations. Being removed, or choosing not to join / leaving the group, does not by itself cancel the subscription or change its billing. Indemnification Indemnification appears **only** in these Membership Terms (not in the Privacy Policy). ### 9.1 Camera deployment / privacy-related claims You agree to indemnify and hold harmless NHBR (and its directors, officers, and personnel) from claims, challenges, litigation, and losses arising from **camera deployment** in the program — including claims for **privacy-related damages** — to the extent permitted by law. This indemnity does **not** apply to the extent a claim arises from NHBR’s or RSPNDR’s **gross negligence or wilful misconduct**. You are not liable under this section for claims caused **solely** by NHBR’s wilful misconduct. ### 9.2 Guard / patrol conduct on your property You agree to indemnify and hold harmless NHBR from claims arising from **guard / patrol conduct on your property** (including where you requested dispatch or alarm response), to the extent permitted by law. This indemnity does **not** apply to the extent a claim arises from NHBR’s or RSPNDR’s **gross negligence or wilful misconduct**. You are not liable under this section for claims caused **solely** by NHBR’s wilful misconduct. --- ## 10. Limitation of liability Security services have inherent limitations. NHBR does **not** guarantee prevention, detection, or interruption of crime, nor any particular patrol frequency or camera uptime. To the extent permitted by Ontario law: - NHBR excludes liability for indirect, incidental, special, or consequential damages - NHBR’s aggregate liability arising out of or relating to these Terms or the membership will not exceed **twelve times (12×) the then-current Membership Fee / Monthly Rate** applicable to your membership - No limitation where prohibited (for example fraud, gross negligence, or statutory non-waivable rights) Liability caps and exclusions live **only** in these Terms — not in the Privacy Policy. --- ## 11. Cancellation and community wind-down ### 11.1 Member cancellation Membership is **month-to-month** as in §2. You may cancel at any time by emailing [**hello@nhbr.ai**](mailto:hello@nhbr.ai) or, when available, using the cancellation tools in your NHBR account. Cancellation takes effect at the **end of the then-current paid Billing Period**. There is **no mid-cycle refund** unless required by law. You will not be charged for a later Billing Period after a valid cancellation. A member-requested **pause is not offered** in this version of the Terms. If you need to stop service, cancel instead. Cancellation does not erase rights or obligations under the Privacy Policy, including applicable access, correction, deletion, or retention rules. ### 11.2 Community wind-down If neighbourhood participation falls below a sustainable level, NHBR may modify or wind down the local program. NHBR will give at least **30 days’ notice** before a wind-down takes effect, will **stop future Fees**, and will **not charge** for periods after the wind-down effective date. ### 11.3 Suspension by NHBR NHBR may suspend service for a failed payment under §2.5, for abuse, or for a safety risk, with notice where practicable. A payment suspension is distinct from a member-requested pause (which is not offered in v1). --- ## 12. Changes to the program and these Terms NHBR may refine operations, technology, routes, and camera configuration with notice appropriate to the change. **Material** changes to price or these Terms will be communicated with an opportunity to review; continued use / re-acceptance may be required. New terms\_version values will be recorded on accept. Privacy Policy version changes are handled under the Privacy Policy. --- ## 13. Governing law and disputes These Terms are governed by the laws of **Ontario** and the applicable federal laws of Canada. **Informal resolution first.** Before filing a claim in court, you agree to contact [**hello@nhbr.ai**](mailto:hello@nhbr.ai) and attempt good-faith informal resolution of the dispute. If the dispute is not resolved informally, the courts of **Ontario** have exclusive jurisdiction, subject to any mandatory consumer venue rules. These Terms do **not** include an arbitration clause. --- ## 14.
